TERMS AND CONDITIONS OF USE

TECHNOLOGY LICENSE AGREEMENT INTELLECTUAL PROPERTY AND CONFIDENTIALITY NOTICE

These Terms and Conditions of Use and Technology License Agreement (“Agreement”) govern access to and use of this website and any technologies, products, systems, equipment, software, designs, methodologies, documentation, and intellectual property provided by Tillage Tech LLC and Inverted Hydroponic Technologies LLC, each managed by Advanced Inverted Systems LLC (collectively, the “Company”).

 

By accessing this website, entering into any licensing arrangement, or purchasing or operating any grow unit utilizing the Company’s inverted growing technology, you (“Customer,” “Grower,” “Licensee,” or “you”) agree to be legally bound by this Agreement.

 

1. Scope and ApplicabilityThis Agreement applies to:Use of the Company’s websites and digital platforms;Licensing of inverted growing systems, processes, and methodologies;Purchase, lease, operation, or deployment of grow units incorporating the Company’s inverted technology;All related technical documentation, specifications, training materials, and support services.This Agreement operates in conjunction with any separate written sales agreement, license agreement, or statement of work, which shall control in the event of a conflict.

 

2. Intellectual Property Ownership and Patent ProtectionAll intellectual property rights, including but not limited to patents (issued and pending), patent applications, continuations, continuations-in-part, divisionals, reissues, foreign equivalents, trade secrets, copyrights, trademarks, service marks, industrial designs, proprietary processes, schematics, software, firmware, algorithms, data models, and know-how (collectively, “Intellectual Property”) are and shall remain the exclusive property of the Company or its licensors.Nothing in this Agreement shall be construed as:A transfer of ownership;A waiver of any intellectual property rights; orA license beyond the limited rights expressly granted herein.The Company actively enforces its intellectual property rights. Unauthorized use, replication, manufacture, modification, or commercialization of the Company’s inverted technology may constitute patent infringement and trade secret misappropriation and may result in civil and criminal liability.

 

3. Limited Technology License (If Applicable)Subject to full compliance with this Agreement and any executed commercial license agreement, the Company may grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the inverted growing technology solely for your internal agricultural operations at the approved site(s).You expressly agree that you shall not:Reverse engineer, decompile, disassemble, or otherwise attempt to derive underlying design or processes;Replicate or manufacture competing systems based on the technology;Permit third-party access beyond authorized personnel;Use the technology for research, benchmarking, or competitive analysis.

 

4. Trade Secrets and ConfidentialityThe inverted growing systems incorporate valuable trade secrets not generally known or readily ascertainable. These include, without limitation, system architecture, fluid dynamics, cultivation methods, operational parameters, and optimization techniques (“Confidential Information”).You agree to:Maintain Confidential Information in strict confidence;Use Confidential Information solely for authorized purposes;Implement reasonable and industry-standard safeguards to prevent unauthorized disclosure;Restrict access to employees or contractors with a legitimate need to know.These obligations survive termination of this Agreement indefinitely, to the maximum extent permitted by law.

 

5. Purchase and Operation of Grow UnitsGrow units are sold or leased subject to:Written sales documentation;Any applicable warranty disclaimers;Proper installation, calibration, and operation in accordance with Company specifications.The Company does not guarantee crop yields, economic outcomes, regulatory approvals, or profitability. Agricultural results depend on numerous variables beyond the Company’s control.

 

6. Regulatory and International ComplianceYou are solely responsible for compliance with all applicable laws, including but not limited to:Agricultural and food safety regulations;Environmental and water-use laws;Import/export and customs regulations;Labor, zoning, and occupational safety laws.For international growers, you further acknowledge that:Technology export may be subject to U.S. export control laws;Certain jurisdictions may impose restrictions on agricultural technologies;You bear all responsibility for local regulatory approvals.

 

7. Disclaimer of WarrantiesTO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE, TECHNOLOGY, AND EQUIPMENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

 

8. Limitation of LiabilityIN NO EVENT SHALL THE COMPANY BE LIABLE FOR:LOSS OF CROPS OR YIELD;LOSS OF PROFITS OR BUSINESS OPPORTUNITY;INTERRUPTION OF OPERATIONS;INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.THE COMPANY’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID FOR THE PRODUCT OR LICENSE AT ISSUE.

 

9. IndemnificationYou agree to indemnify, defend, and hold harmless the Company and its affiliates, managers, officers, employees, and agents from all claims, damages, losses, liabilities, and expenses (including attorneys’ fees) arising from:Improper use of the technology;Violation of this Agreement;Violation of applicable law or third-party rights.

 

10. Termination and Injunctive ReliefThe Company may immediately terminate this Agreement upon breach. You acknowledge that unauthorized use or disclosure of Intellectual Property may cause irreparable harm, and the Company shall be entitled to injunctive relief, in addition to any other remedies available at law or equity.

 

11. Governing Law and Jurisdiction (Customization Options)Default (Recommended):This Agreement shall be governed by the laws of the State of [Insert State, e.g., Delaware or California], without regard to conflict of law principles.United States Customers:Venue shall lie exclusively in the state or federal courts located within that State.International Customers:The Company reserves the right to:Require arbitration under ICC or AAA rules; orEnforce this Agreement in U.S. courts or the customer’s local jurisdiction, at the Company’s discretion.

 

12. Entire Agreement and SeverabilityThis Agreement constitutes the entire agreement between the parties regarding its subject matter. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
